STARTRIP INDEPENDENT DRIVER AGREEMENT AND TERMS & CONDITIONS
StarTrip Independent Driver Agreement (Papua New Guinea)
Effective Date: 25/11/2025
This Independent Driver Agreement (the “Agreement”) is entered into on the date of electronic acceptance by the Driver (the “Effective Date”) between:
-
StarTrip Technologies FZ-LLC, a company incorporated in the Ras Al Khaimah Economic Zone, United Arab Emirates, with its registered address at RAKEZ Business Zone, Al Nakheel Area, P.O. Box 10055, Ras Al Khaimah, United Arab Emirates (“StarTrip”); and
-
The individual Driver who accepts this Agreement electronically within the StarTrip Driver App and whose details are captured in the Driver App registration process (the “Driver”).
For certain on-ground support functions in Papua New Guinea, StarTrip engages:
Khoco Limited, a company incorporated in Papua New Guinea (“Khoco”), which acts solely as a limited support service provider to StarTrip as further described in this Agreement. Khoco is not a party to this Agreement, does not provide transportation services, and does not employ or supervise Drivers.
1. Definitions
In this Agreement, unless the context requires otherwise:

“Driver App” means the StarTrip mobile application and associated software made available by StarTrip for use by Drivers.

“Platform” means the technology platform, including the Driver App, rider-facing app, website, systems and associated services operated by or on behalf of StarTrip for the purpose of connecting Riders and Drivers.

“Rider” means any person who requests or receives transportation services through the Platform.

“Transportation Services” means the ground transportation or passenger carriage services provided by the Driver to a Rider using a Vehicle, which are arranged through the Platform.

“Vehicle” means the motor vehicle registered by the Driver and approved by StarTrip for use to provide Transportation Services.

“Wallet” means the virtual account functionality within the Driver App reflecting amounts credited or debited to the Driver in connection with use of the Platform, including fares due from Riders and service fees due to StarTrip.

“Service Fee” means the commission or technology service fee charged by StarTrip to the Driver for access to and use of the Platform.

“PNG Law” means all applicable laws, regulations and rules of the Independent State of Papua New Guinea that apply to the Driver, the Vehicle and performance of Transportation Services in PNG.
2. Nature of Relationship and Roles
2.1 Independent Contractor
The Driver participates in the Platform strictly as an independent contractor. Nothing in this Agreement is intended to create or shall be construed as creating any employment, agency, partnership, joint venture or franchise relationship between StarTrip and the Driver or between Khoco and the Driver.
2.2 StarTrip as Technology Platform
The Driver acknowledges and agrees that:
a) StarTrip provides a technology Platform that enables the Driver to offer Transportation Services directly to Riders who request such services through the Platform.
b) StarTrip does not provide Transportation Services, does not operate as a taxi company, PMV operator, hire car operator or transport carrier, and does not own, operate or control Vehicles.
c) All Transportation Services are provided by the Driver in the Driver’s own name and on the Driver’s own account. The Driver is solely responsible for the manner and means by which Transportation Services are performed.
2.3 Khoco as Support Service Provider
The Driver acknowledges and agrees that:
a) Khoco provides certain local support services to StarTrip in Papua New Guinea, which may include call centre support, complaints handling assistance, Driver training support, and facilitation of certain Wallet top ups and withdrawals, as instructed by StarTrip.
b) Khoco does not provide Transportation Services, does not employ the Driver, does not control the Driver’s working hours or routes, and does not act as transport operator or principal in relation to any Transportation Services.
c) Khoco has no authority to enter into contracts on behalf of StarTrip or to vary the terms of this Agreement.
d) For clarity, Khoco has no obligation to calculate, withhold or remit any income tax, superannuation, social security or similar contributions on behalf of the Driver.
e) Training is presented as “guidelines / best practices”, not “employee instructions”.
2.4 No Agency
The Driver is not an agent or representative of StarTrip or Khoco and has no authority to bind StarTrip or Khoco in any respect.
2.5 Independence of Method
Nothing in this Agreement gives StarTrip or Khoco the right to direct or control the manner or means by which the Driver provides Transportation Services, including the Driver’s working hours, routes, breaks or acceptance rate, provided that the Driver must comply with applicable law and the quality and safety standards set out in this Agreement and in the Driver Policy.
2.6 Marketplace Role
The Driver acknowledges that StarTrip operates solely as a technology marketplace that connects Riders and Drivers.
StarTrip does not:
a) provide or operate transportation services;
b) employ, supervise or control Drivers;
c) own, operate or maintain Vehicles;
d) assume liability for Transportation Services.
All Transportation Services are provided solely by the Driver in the Driver’s own name and on the Driver’s own account
2.7 No Control Over Manner of Work
StarTrip does not direct or control the manner, method, or means by which the Driver performs Transportation Services. The Driver retains full discretion as to the operation of the Vehicle, the routes taken (subject to Rider preference), the acceptance or refusal of trip requests, and the scheduling of working hours. Nothing in this Agreement shall be construed as giving StarTrip the right to supervise or control the Driver in a manner characteristic of an employer.
3. Access to the Platform
3.1 Licence
Subject to compliance with this Agreement, StarTrip grants the Driver a limited, revocable, non exclusive, non transferable licence to use the Driver App to receive Transportation Service requests from Riders and to manage the Driver’s Wallet and account.
3.2 Account Security
The Driver must keep login credentials confidential and must not share the Driver App account with any third party. The Driver is responsible for all activity that occurs under the Driver’s account.
3.3 Updates and Policies
The Driver agrees to comply with all policies, guidelines and procedures that StarTrip may issue from time to time, including the StarTrip Driver Policy, Community Standards and any safety or incident reporting procedures, each as updated by electronic notice. The Driver is solely responsible for reviewing this Agreement and any updated policies periodically. StarTrip is under no obligation to verify whether the Driver has read or understood any amendment.
3.4 Driver Policy
The Driver acknowledges that StarTrip issues a StarTrip Driver Policy for Papua New Guinea, which sets out operational rules and standards. The Driver Policy forms part of this Agreement and is incorporated by reference. In the event of any inconsistency between this Agreement and the Driver Policy, this Agreement prevails.
4. Driver Eligibility, Documentation and Compliance
4.1 Eligibility
To use the Platform as a Driver, the Driver must:
a) be at least 21 years of age;
b) hold a current and valid driver’s licence of the appropriate class required under PNG Law to provide the Transportation Services offered;
c) have legal right to work as an independent contractor in Papua New Guinea; and
d) pass any checks reasonably required by StarTrip from time to time.
4.2 Vehicle Requirements
The Driver must:
a) provide a Vehicle that is registered, roadworthy and fit for passenger carriage under PNG Law;
b) maintain valid compulsory third party insurance and any additional vehicle and passenger liability insurance required by PNG Law or by StarTrip;
c) ensure the Vehicle is kept in clean, safe and presentable condition at all times when providing Transportation Services.
4.3 Evidence and Verification
The Driver must upload and keep up to date in the Driver App:
a) driver’s licence;
b) vehicle registration and roadworthiness documents;
c) insurance certificates; and
d) any other documents reasonably required by StarTrip or by law.
StarTrip may temporarily suspend the Driver’s access to the Platform if documentation is missing, expired or appears invalid.
4.4 Compliance with PNG Law
The Driver is solely responsible for understanding and complying with all PNG Law applicable to the Driver and to the Vehicle, including but not limited to:
a) road traffic and road safety legislation;
b) licensing, registration and transport authority requirements for passenger transport;
c) insurance requirements;
d) tax obligations.
5. Provision of Transportation Services
5.1 Acceptance of Requests
The Driver is free to choose when to log in to the Platform and whether to accept or decline any Transportation Service request, subject to reasonable performance expectations and StarTrip’s policies on excessive cancellations or refusals.
5.2 No Minimum Hours or Earnings
StarTrip does not guarantee any minimum volume of Transportation Service requests, and the Driver is under no obligation to accept any minimum number of requests or to work any minimum hours. The Driver acknowledges that StarTrip does not guarantee any level of earnings, profit or Rider demand.
5.3 Performance Standards
When providing Transportation Services, the Driver must:
a) arrive promptly at the pickup location;
b) transport Riders safely to the agreed destination using reasonable and lawful routes;
c) treat Riders politely and respectfully;
d) comply with the Code of Conduct and Safety in clause 9;
e) not carry additional passengers without the Rider’s consent;
f) not charge Riders any additional fees outside the Platform except as expressly permitted by StarTrip policy.
5.4 Ratings and Feedback
Riders may submit ratings and feedback about the Driver and the trip. The Driver’s average rating is calculated based on Rider feedback. StarTrip may use rating thresholds as a condition for continued access to the Platform.
6. Vehicle, Maintenance and Insurance
6.1 Maintenance
The Driver is solely responsible for all costs associated with the Vehicle, including fuel, maintenance, repairs, cleaning, tyres and registration fees.
6.2 Insurance
The Driver must maintain all insurances required by PNG Law to provide Transportation Services and any additional cover reasonably specified by StarTrip from time to time. StarTrip and Khoco do not provide motor vehicle or personal accident insurance to the Driver.
6.3 Proof of Insurance
StarTrip may request proof of current insurance at any time. Failure to provide proof may result in suspension.
6.4 Fines and Penalties
The Driver is solely responsible for any fines, penalties, infringement notices, towing charges or similar amounts issued by any authority in connection with the use of the Vehicle while providing Transportation Services, except to the extent directly caused by any proven fault of the Platform.
6.5 Driver Responsible for Operating Costs
The Driver is solely responsible for all costs associated with providing Transportation Services, including but not limited to fuel, mobile data, mobile phone maintenance, battery usage, repairs, cleaning, vehicle depreciation, safety equipment, and any other expenses incurred in connection with using the Platform.
StarTrip and Khoco shall not reimburse or compensate the Driver for any such expenses.
7. Fares, Service Fees, Wallet and Payment Flows
7.1 Fare Calculation and Display
Fares for Transportation Services are calculated in accordance with the fare model communicated by StarTrip from time to time. Estimated fares may be displayed in Papua New Guinea Kina (PGK) for convenience. Where card or digital payments are used, the underlying transaction is processed by or on behalf of StarTrip, which may occur in a different currency (including United Arab Emirates Dirham (AED)) through StarTrip’s appointed payment processors. The Driver acknowledges that such processing is carried out for and on behalf of StarTrip Technologies FZ-LLC as principal in respect of Platform service fees and related payment flows.
7.2 Role of the Driver in Cash Trips
For trips paid in cash by the Rider:
a) the Transportation Services are provided by the Driver to the Rider, and the cash fare is received by the Driver in the Driver’s own name;
b) StarTrip is not a party to the cash transaction and does not receive or hold such cash;
c) the Driver is responsible for properly accounting for such income under PNG Law.
7.3 Service Fee
In consideration for access to and use of the Platform, StarTrip charges the Driver a Service Fee. Unless otherwise notified:
a) the default Service Fee is thirty percent (30 per cent) of the fare for each completed trip;
b) StarTrip may vary the Service Fee for specific categories, promotions or campaigns by prior electronic notice.
7.4 Wallet Functionality
The Wallet is a virtual ledger within the Driver App that reflects:
a) amounts owing to the Driver by StarTrip in respect of trips paid via card or digital methods;
b) Service Fees, penalties or adjustments owing by the Driver to StarTrip;
c) top ups made by the Driver;
d) withdrawals made by the Driver.
The Wallet is not a bank account or deposit. It does not earn interest and is not covered by any deposit guarantee scheme. The Wallet is a record of net amounts between StarTrip and the Driver and is intended to reflect, on a running basis, the effect of fares, Service Fees, top ups, withdrawals, chargebacks and other authorised adjustments.
7.5 Express Authorisation for Deductions
The Driver expressly authorises StarTrip to make automatic deductions, adjustments, reversals, service fee charges, penalty deductions, negative balance corrections, and any other lawful set-offs from the Driver’s Wallet balance. This authorisation applies to all amounts owed by the Driver in connection with the use of the Platform and survives termination of this Agreement until all outstanding obligations are settled.
7.6 Maintaining Positive Wallet Balance
StarTrip may require the Driver to maintain a minimum positive Wallet balance, as notified from time to time. If the Wallet balance falls below the minimum, StarTrip may suspend the Driver’s ability to receive new Transportation Service requests until the balance is restored.
7.7 Top Ups via Khoco or Other Providers
The Driver may top up the Wallet via available methods, which may include mobile money, bank transfer, card payment or cash deposit via Khoco or other authorised service providers. Where StarTrip enables cash based Wallet top ups through Khoco or another authorised service provider, any such cash is accepted by that service provider as a facilitator of payment processing in respect of the Driver’s obligations to StarTrip. Such funds are treated solely as prepayment of Service Fees and Wallet top ups and not as fare collection. Khoco is not authorised to negotiate or collect fares on behalf of StarTrip.
7.8 Withdrawals
StarTrip may permit the Driver to request withdrawal of positive Wallet balances. Withdrawals are processed on behalf of StarTrip by its payment partners and may be technically facilitated by Khoco or other authorised service providers, but are made in discharge of StarTrip’s payment obligations to the Driver.
a) any minimum withdrawal amounts;
b) withdrawal schedules;
c) completion of any required verification;
d) deduction of Service Fees, adjustments, chargebacks or negative balances.
Withdrawals may be processed to the Driver’s nominated bank account or mobile money account and may be facilitated technically by Khoco on StarTrip’s instructions. StarTrip may charge a withdrawal fee.
7.9 Fare Calculation Errors and Adjustments
a) StarTrip uses automated systems to calculate fares, Service Fees and Wallet adjustments. The Driver acknowledges that these systems may occasionally experience technical errors, delays or miscalculations.
b) StarTrip may correct any clear or obvious error in fare calculation, Service Fee deduction, bonuses, incentives or Wallet balances.
Such corrections may involve increasing or decreasing the amount payable to the Driver.
c) To the maximum extent permitted by PNG Law, StarTrip and Khoco shall not be liable for any loss, damage or claim arising from:
-
incorrect fare calculations;
-
over-deductions or under-deductions;
-
reconciliation delays;
-
technical or data processing errors;
-
delayed Wallet updates;
-
inaccurate displayed estimates.
d) StarTrip’s obligation in the event of an error is limited solely to correcting the error within the Wallet once verified.
7.10 Set Off and Collections
StarTrip may set off any amounts owed by the Driver in connection with the Platform, including amounts collected or advanced by Khoco on StarTrip’s behalf, against any amounts credited to the Driver’s Wallet. StarTrip may also engage third party collection services or take legal action to recover any overdue amounts owed by the Driver.
7.11 Taxes and Withholding
All amounts payable to the Driver are gross of any taxes for which the Driver is responsible. Where PNG Law requires any withholding, StarTrip or Khoco may withhold, acting on behalf of StarTrip and in accordance with StarTrip’s instructions such amounts and remit them to the relevant authority, and shall provide reasonable evidence of such remittance upon request.
7.12 Failed Rider Payments and Outstanding Balances
a) Where a Rider’s card or digital payment for a trip fails, any resulting outstanding balance in respect of that trip is owed by the Rider to StarTrip Technologies FZ-LLC and not to the Driver.
b) The Driver acknowledges that StarTrip may take steps to collect such outstanding balances directly from the Rider, including by restricting the Rider’s access to the Platform, initiating repeat payment attempts, or engaging external collection processes.
c) Provided the trip has been properly completed in accordance with this Agreement, StarTrip may, at its discretion, credit the Driver’s Wallet with the Driver’s share of the fare in accordance with StarTrip’s then current payment rules, regardless of whether StarTrip has successfully collected the outstanding balance from the Rider.
d) The Driver must not attempt to collect any such outstanding balances on behalf of StarTrip, must not request additional payments from the Rider in respect of failed card or digital transactions, and must refer any payment issues to StarTrip support.
8. Fraud, Chargebacks and Adjustments
8.1 Fraud and Misuse
If StarTrip reasonably suspects that the Driver has engaged in fraud, collusion, trip manipulation, false trips, GPS spoofing, payment fraud or other misuse of the Platform, StarTrip may:
a) temporarily suspend or permanently deactivate the Driver’s account;
b) withhold or reverse Wallet credits;
c) recover any losses from the Driver.
8.2 Chargebacks
If a Rider or payment provider successfully disputes a transaction and a chargeback occurs, StarTrip may deduct the disputed amount and any associated fees from the Driver’s Wallet, to the extent the dispute relates to the Driver’s conduct or the Transportation Services.
9. Code of Conduct and Safety
9.1 Professional Conduct
The Driver must at all times:
a) comply with all road, traffic, transport and criminal laws in Papua New Guinea;
b) operate the Vehicle safely, carefully and professionally;
c) treat Riders, other road users, StarTrip personnel and Khoco personnel with courtesy and respect;
d) maintain the Vehicle in clean and hygienic condition;
e) respect Rider privacy and keep Rider information confidential, using it only for the purpose of providing the Transportation Services.
9.2 Zero Tolerance
StarTrip operates a strict zero tolerance policy. The Driver must not:
a) drive under the influence of alcohol, drugs or other intoxicating substances;
b) consume alcohol or illegal drugs while providing Transportation Services or immediately before;
c) engage in violence, threats, intimidation, harassment, discrimination, sexual misconduct or any other abusive behavior;
d) carry weapons or dangerous items in the Vehicle, except as strictly permitted by applicable law and StarTrip policy;
e) make unwanted physical contact with Riders.
f) The Driver must not contact Riders outside the Platform for personal, romantic or non-trip-related reasons. Any such contact may result in immediate suspension or deactivation. Any breach of this clause 9.2(f) may be treated as serious misconduct and may result in immediate suspension or permanent deactivation.
9.3 Incident Reporting
The Driver must promptly report to StarTrip, via the Driver App or support channels, any serious incident involving:
a) accidents with personal injury or significant property damage;
b) alleged crimes, including assault, sexual misconduct, theft, or threats;
c) safety concerns about Riders or other Drivers.
9.4 Driver Responsibility for Conduct and Background Information
a) The Driver is solely responsible for ensuring the accuracy and legality of all information and documents submitted to StarTrip.
b) StarTrip is not liable for any harm, injury, misconduct, or offence committed by the Driver, whether or not StarTrip performed document checks, background verification, or account approval.
c) StarTrip does not guarantee the safety, suitability, lawfulness, or fitness of any Driver or Vehicle.
10. Suspension and Termination
10.1 Suspension and Deactivation by StarTrip
StarTrip may, acting reasonably, temporarily suspend or permanently deactivate the Driver’s access to the Platform where StarTrip believes that:
a) the Driver has breached this Agreement, the Driver Policy or any StarTrip policy;
b) the Driver’s conduct compromises or is likely to compromise the safety or security of Riders, the public, StarTrip personnel or Khoco personnel;
c) the Driver has engaged in fraud, misuse of the Platform, fare manipulation, ratings abuse or other dishonest conduct;
d) the Driver has failed to maintain required licences, registrations, insurance or legal eligibility to provide Transportation Services;
e) the Driver’s average rating remains below the minimum threshold notified by StarTrip after a reasonable opportunity to improve;
f) the Driver has failed to resolve negative Wallet balances or other financial obligations after notice;
g) the continued access of the Driver creates legal, regulatory, reputational or operational risk for StarTrip or Khoco.
10.2 Immediate Suspension
In urgent cases, including credible allegations of serious criminal conduct, violence, sexual misconduct, intoxication while driving or intentional endangerment, StarTrip may immediately suspend the Driver’s access pending investigation.
10.3 Notice
Where reasonably practicable, StarTrip will notify the Driver of the main reason for permanent deactivation. StarTrip is not obliged to disclose information that could compromise an investigation or the safety or privacy of any person.
10.4 Termination by Driver
The Driver may terminate this Agreement at any time by ceasing to use the Platform and giving notice through the Driver App or by email. Termination does not release the Driver from any outstanding obligations.
10.5 Effect of Termination
Upon termination for any reason:
a) the Driver must cease using the Platform;
b) any outstanding amounts owed by the Driver to StarTrip or Khoco shall become immediately due;
c) StarTrip may retain and use data as permitted by the Privacy Policy;
d) clauses that by their nature should survive termination, including those relating to liability, indemnity and dispute resolution, shall continue to apply.
10.6 No Compensation for Termination
The Driver acknowledges and agrees that suspension or deactivation may result in loss of access to the Platform and loss of potential future earnings. The Driver shall not be entitled to any damages, compensation, lost income, or reimbursement arising from suspension, termination, or deactivation of the Driver’s access to the Platform, regardless of cause.
10.7 Termination Without Cause
In addition to its other rights under this Agreement, StarTrip may terminate this Agreement and the Driver’s access to the Platform at any time for convenience by giving not less than seven (7) days’ notice to the Driver. Such termination shall not affect any rights or obligations accrued up to the date of termination.
10.8 Cooperation with Authorities
StarTrip may, without prior notice to the Driver, cooperate fully with law enforcement, regulatory authorities, or lawful investigations, including providing trip data, account information, GPS data, communication logs, and any other information reasonably required.
Such cooperation may result in immediate suspension or deactivation of the Driver’s account.
10.9 Inactivity / Dormant Accounts
If the Driver has no completed trips and has not accessed the Driver App for a continuous period of sixty (60) days(or such other period notified by StarTrip), StarTrip may place the Driver account into Dormant status (deactivated) for operational, safety, and compliance reasons. Where reasonably practicable, StarTrip will provide notice prior to dormancy. The Driver may request reactivation, which may require completion of verification steps including updated identity/driver/vehicle documents, insurance, and any required refresher training.
11. Taxes
11.1 Driver Taxes
The Driver acknowledges that the Driver is an independent contractor and is solely responsible for assessing, reporting and paying all taxes, levies, duties or similar governmental charges arising out of or in connection with income earned from Transportation Services.
11.2 No Employment
Nothing in this Agreement shall be construed as imposing any obligation on StarTrip or Khoco to withhold or remit income tax, superannuation, social security or similar contributions on behalf of the Driver. For clarity, Khoco has no obligation to calculate, withhold or remit any such amounts on behalf of the Driver.
12. Data Protection and Privacy
12.1 Personal Data
The Driver acknowledges that StarTrip and its service providers will process personal data relating to the Driver, including identity documents, contact information, Vehicle information, location data, trip data, earnings and Wallet data, in accordance with the StarTrip Privacy Policy as updated from time to time.
12.2 Data Sharing
The Driver consents to StarTrip sharing Driver information:
a) with Riders as necessary to complete trips;
b) with Khoco and other service providers as necessary to support operations in PNG;
c) with law enforcement, regulators or authorities where reasonably necessary to comply with law or to protect the rights, property or safety of any person.
12.3 Continuous Location Tracking Consent
By using the Driver App, the Driver consents to StarTrip continuously collecting, processing, and storing real-time GPS location data from the Driver’s device while the App is active or running in the background. Location tracking is required for fraud prevention, safety monitoring, trip fulfilment, fare calculation, dispute resolution, and Rider protection.
13. Intellectual Property
All intellectual property rights in the Platform and Driver App are owned by StarTrip or its licensors. The Driver acquires no rights in the Platform other than the limited licence set out in this Agreement.
14. Limitation of Liability and Indemnity
14.1 No Liability for Transportation Services
To the maximum extent permitted by PNG Law:
a) StarTrip and Khoco are not liable for any loss, damage, injury, death or claim arising out of or in connection with any Transportation Services provided by the Driver;
b) the Driver is solely responsible for the acts and omissions of the Driver and for the condition and operation of the Vehicle.
14.1A No Warranty of Driver Suitability
StarTrip does not warrant, guarantee, or represent the suitability, behaviour, driving ability, background, or safety of any Driver or Rider. Riders contract directly with Drivers for Transportation Services. StarTrip is not liable for any act or omission of any Driver or Rider, including misconduct, harassment, negligence, criminal behaviour, or breach of applicable law.
14.2 Service Availability
a) The Driver acknowledges that the Platform may from time to time be unavailable, interrupted, delayed or subject to errors due to maintenance, updates, technical issues, third-party failures, network problems or circumstances beyond StarTrip’s control.
b) To the maximum extent permitted by PNG Law, StarTrip and Khoco shall not be liable for any loss of income, lost opportunities, loss of business, or any indirect, incidental or consequential damages arising out of or connected with:

Platform outages, downtime or interruptions;

Inaccurate fare estimates caused by technical issues;
-
Delays in receiving trip requests;
-
GPS, mapping, routing or connectivity issues;
-
System upgrades, errors or maintenance.
c) The Driver acknowledges that access to the Platform is provided “as available” and “as is,” without any guarantee of uninterrupted service or any guarantee of earnings.
14.1A No Warranty of Driver Suitability
StarTrip does not warrant, guarantee, or represent the suitability, behaviour, driving ability, background, or safety of any Driver or Rider. Riders contract directly with Drivers for Transportation Services. StarTrip is not liable for any act or omission of any Driver or Rider, including misconduct, harassment, negligence, criminal behaviour, or breach of applicable law.
14.3 Indemnity
The Driver shall indemnify and keep indemnified StarTrip, Khoco and their respective officers, directors, employees and agents from and against all claims, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:
a) the Driver’s breach of this Agreement or of any applicable PNG Law;
b) any accident, injury, death, property damage or loss arising from the Driver’s provision of Transportation Services;
c) any fraud, wilful misconduct or gross negligence by the Driver;
d) any misuse or unauthorised use of the Platform or Rider data by the Driver.
14.4 Limitation of Liability
To the maximum extent permitted by PNG Law, the total aggregate liability of StarTrip and Khoco to the Driver arising out of or in connection with this Agreement shall not exceed the total Service Fees paid by the Driver to StarTrip in the three month period immediately preceding the event giving rise to the claim.
14.5 No Guarantee of Earnings or Continuity of Programs
a) The Driver acknowledges that StarTrip does not guarantee any minimum earnings, incentives, bonuses, surge pricing, trip volume, or Rider demand.
b) StarTrip may modify, reduce, suspend, or withdraw any incentive, bonus, promotion, surge pricing, Service Fee or fare structure at any time, with or without notice.
c) The Driver is not entitled to compensation, damages, or reimbursement for any change in the Platform’s pricing model, algorithms, incentive programs or Service Fees.
15. Governing Law and Dispute Resolution
15.1 Governing Law
This Agreement and any non contractual obligations arising out of or in connection with it shall be governed by and construed in accordance with the laws of the Independent State of Papua New Guinea.
15.2 Internal Resolution
The parties shall first seek to resolve any dispute, controversy or claim arising out of or in connection with this Agreement by good faith negotiations using StarTrip’s internal complaints and escalation procedures.
15.3 Arbitration
If the dispute is not resolved within thirty (30) days of written notice of the dispute, it shall be finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules in force at the time of the arbitration, which rules are deemed incorporated by reference into this clause.
a) The seat of arbitration shall be Singapore.
b) The tribunal shall consist of a sole arbitrator appointed in accordance with the SIAC Rules.
c) The language of the arbitration shall be English.
d) The arbitral award shall be final and binding on the parties and may be enforced in any court of competent jurisdiction.
16. General
16.1 Amendments
(a) StarTrip may amend, update or modify this Agreement, the Driver Policy, the Community Standards or any other document incorporated by reference at any time by providing electronic notice through the Driver App, by email, or by publishing the updated version within the Driver App.
(b) The version of this Agreement and any incorporated policy published in the Driver App shall prevail over all other versions, including printed, emailed or previously executed copies.
(c) If StarTrip makes a material amendment, StarTrip may require the Driver to expressly accept the updated terms (for example, by clicking “Accept”) as a condition of continuing to access the Driver App. StarTrip may suspend the Driver’s access until acceptance is completed.
(d) If the Driver does not agree to the amended terms, the Driver must immediately cease using the Platform and may terminate this Agreement in accordance with clause 10.4.
(e) Continued use of the Platform after the effective date of any amendment constitutes the Driver’s binding acceptance of the amended terms, regardless of whether express acceptance has been captured in-app.
16.2 Assignment
The Driver may not assign or transfer this Agreement. StarTrip may assign or transfer this Agreement to an affiliate or in connection with a merger, sale or reorganisation.
16.3 Entire Agreement
This Agreement, together with the Driver Policy and the StarTrip Privacy Policy, constitutes the entire agreement between the parties in relation to its subject matter and supersedes all prior understandings.
16.4 Severability
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16.5 Force Majeure
StarTrip shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to:
natural disasters, civil unrest, power outages, telecommunications failures, internet disruptions, strikes, government restrictions, regulators or third-party service interruptions.
16.6 Language
This Agreement is drawn up in the English language. If translated, the English version shall prevail.

StarTrip App - Terms and Conditions (Papua New Guinea)

These Terms and Conditions (“Terms”) govern access to and use of the StarTrip mobile applications, websites and related services (together, the “Platform”) by users in Papua New Guinea. By creating an account or using the Platform, you agree to be bound by these Terms.
0. Definitions
In these Terms, unless the context requires otherwise:
a) “Platform” means the StarTrip mobile applications, websites, systems and related technology services made available by or on behalf of StarTrip.
b) “Rider” means a user of the Platform who requests or receives Transportation Services.
c) “Driver” means an independent third party driver who uses the Platform to offer Transportation Services.
d) “Transportation Services” means the passenger transport services provided by a Driver to a Rider using a vehicle, which are arranged through the Platform.
e) “PNG Law” means all applicable laws, regulations and rules of the Independent State of Papua New Guinea.
1. Parties and Role of StarTrip
1.1 The Platform is operated by StarTrip Technologies FZ-LLC, a company incorporated in the Ras Al Khaimah Economic Zone, United Arab Emirates (“StarTrip”).
1.2 In Papua New Guinea, StarTrip engages Khoco Limited (“Khoco”) as a local support service provider. Khoco provides limited customer support and administrative services under StarTrip’s instructions. Khoco does not provide Transportation Services and is not a party to any contract between Riders and Drivers.
1.3 StarTrip provides a technology Platform that enables Rider users to request Transportation Services from independent third party Drivers. Drivers provide Transportation Services in their own name and on their own account.
1.4 StarTrip is not a transport operator, taxi company, PMV operator, hire car service or carrier. StarTrip does not own, control or operate vehicles and does not provide Transportation Services.
2. Eligibility and Account Registration
2.1 To use the Platform as a Rider you must:
a) be at least 18 years old;
b) have capacity to enter into binding contracts;
c) provide accurate registration information.
2.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
2.3 You must not allow any other person to use your account or access the Platform using your credentials. You are responsible for all activity carried out through your account, whether or not you authorised it, except where such activity results directly from StarTrip’s failure to secure the Platform.
2.4 You should notify StarTrip promptly if you suspect any unauthorised access to your account or loss of your device so that StarTrip can take appropriate steps to protect your account.
3. Use of the Platform
3.1 You agree to:
a) use the Platform only for lawful purposes;
b) not engage in fraudulent, abusive or harmful conduct;
c) not disrupt the proper functioning of the Platform;
d) respect Drivers and other users;
e) comply with any community standards or safety guidelines published by StarTrip from time to time.
3.2 StarTrip may suspend or terminate your access if you breach these Terms or if your conduct creates risk for other users.
4. Transportation Services and Contracting
4.1 When you request Transportation Services through the Platform and a Driver accepts, a direct contract for Transportation Services is formed between you and the Driver.
4.2 StarTrip is not a party to that contract. StarTrip is not responsible for and does not guarantee:
a) the quality, safety or legality of Transportation Services;
b) the availability or punctuality of Drivers;
c) the suitability or condition of vehicles.
4.3 StarTrip may, in its discretion, assist in facilitating communications or resolving disputes between Riders and Drivers, but has no obligation to do so and is not responsible for the outcome of any such dispute.
5. Fares, Payments and Currency
5.1 Fares for Transportation Services are determined in accordance with the pricing model used by StarTrip and may vary based on distance, time, demand, category and other factors.
5.2 Estimated fares may be displayed in Papua New Guinea Kina (PGK) for your convenience. Where card or digital payment methods are used, the underlying payment may be processed in a different currency, such as United Arab Emirates Dirham (AED), by StarTrip’s payment processor. Your bank or card issuer may apply its own foreign exchange rates and fees.
5.3 By confirming a trip request you authorise StarTrip or its payment processors to charge your selected payment method for the estimated fare and any applicable fees, tolls and surcharges.
5.4 If cash payment is available and selected, you agree to pay the fare displayed in the App directly to the Driver at the end of the trip. StarTrip is not responsible for and does not manage cash payments between Riders and Drivers.
5.5 StarTrip may offer promotions, discounts or credits subject to applicable terms. StarTrip may modify or withdraw promotions at any time.
5.6 Pre authorisations and Failed Payments
You acknowledge that StarTrip or its payment processors may place a temporary authorisation hold on your selected payment method to verify card validity and available funds. If your payment method is declined, revoked, expires, or if a chargeback or reversal occurs, you remain liable to StarTrip for the full amount of the fare and any applicable fees, and StarTrip may:
a) charge any other payment method linked to your account;
b) set off amounts you owe against any credits or refunds due to you; and
c) engage third party collection services or take legal action to recover overdue amounts.
5.7 Cleaning, Damage and Additional Charges
Where a Driver or vehicle suffers cleaning requirements beyond normal wear and tear, damage, or loss as a result of your acts or omissions (or those of your guests), you authorise StarTrip, following reasonable investigation and documentation, to charge your selected payment method for reasonable cleaning fees, repair costs or related charges. StarTrip may also charge reasonable waiting time fees, tolls, parking charges and other amounts disclosed in the App from time to time.
5.8 Pricing Errors and Adjustments
StarTrip may correct any clear or obvious pricing error, miscalculation or technical fault in the fare displayed or charged for a trip. Where appropriate, StarTrip may adjust fares, apply credits or re charge a corrected amount and will notify you of any material adjustment.
6. Cancellations, No Shows and Charges
6.1 You may cancel a trip request at any time before a Driver arrives, subject to any cancellation fees shown in the App.
6.2 StarTrip may apply cancellation or no show fees where you cancel or fail to appear after a Driver has accepted and committed time and distance, as explained in the App.
6.3 StarTrip may adjust fares, apply credits or make other corrections where trips are affected by technical issues, obvious errors or proven misconduct.
7. User Conduct and Community Standards
7.1 Riders must:
a) treat Drivers with respect and courtesy;
b) not harass, threaten, assault or abuse Drivers or other users;
c) not damage vehicles or property;
d) not smoke in vehicles unless clearly permitted;
e) not engage in illegal activity while using the Platform;
f) comply with any community standards or safety guidelines published by StarTrip from time to time.
7.2 StarTrip may suspend or permanently close a Rider account where it reasonably believes that the Rider has:
a) engaged in violence, threats, harassment or discriminatory behavior;
b) committed or attempted criminal activity in connection with the Platform;
c) repeatedly failed to pay fares or misused payment methods;
d) abused promotions or referral programs;
e) otherwise created a significant safety, legal or reputational risk.
7.3 You are responsible for the conduct of any other passengers or guests that you bring into a vehicle, and you must ensure that they comply with these Terms and any applicable community standards. Any breach by such persons may be treated as a breach by you.
7.4 StarTrip is not responsible for driver or customer lost property, but may help facilitate contact between rider and driver.
8. Data and Privacy
8.1 StarTrip collects and processes personal data in accordance with its Privacy Policy as updated from time to time.
8.2 By using the Platform you consent to such processing and to the transfer of your information outside Papua New Guinea as described in the Privacy Policy.
8A. User Content
8A.1 You may be able to submit ratings, feedback, comments or other content through the Platform (“User Content”). You remain responsible for your User Content and must ensure that it is accurate, lawful and does not contain any defamatory, abusive, hateful, discriminatory, obscene or otherwise inappropriate material.
8A.2 By submitting User Content, you grant StarTrip a worldwide, non exclusive, royalty free licence to use, copy, modify, publish and display such User Content in connection with operating, improving and promoting the Platform, subject to the StarTrip Privacy Policy.
9. Service Availability and Changes
9.1 StarTrip does not guarantee the availability of Drivers, the acceptance of any particular Transportation Services request, or the continuous or error free operation of the Platform.
9.2 StarTrip may modify or discontinue any aspect of the Platform, including features, categories and pricing, at any time.
10. Liability
10.1 To the maximum extent permitted by PNG Law, StarTrip and Khoco shall not be liable for:
a) any personal injury, death, property damage or loss arising from Transportation Services provided by Drivers;
b) delays, cancellations or failure to secure a Driver;
c) loss or theft of personal property during a trip;
d) acts or omissions of Drivers, Riders or third parties.
10.2 StarTrip does not exclude liability that cannot be excluded by law. Where liability cannot be excluded but can be limited, StarTrip limits its liability to the lesser of:
a) the amount paid by you for the trip giving rise to the claim; or
b) an amount determined by PNG Law.
10.3 To the extent permitted by PNG Law, you agree to indemnify and hold harmless StarTrip, Khoco and their respective officers, directors, employees and agents from and against any claims, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:
a) your breach of these Terms or of any applicable PNG Law;
b) any damage to vehicles or property, or injury to Drivers or third parties, caused by your acts or omissions or those of your guests; or
c) your misuse of the Platform, including fraudulent payment activity or unauthorised use of accounts.
10.4 Nothing in these Terms is intended to exclude or limit any rights or remedies that cannot be excluded or limited under PNG Law, including any non excludable consumer rights.
11. Governing Law and Dispute Resolution
11.1 These Terms and any non contractual obligations arising out of or in connection with them are governed by the laws of the Independent State of Papua New Guinea.
11.2 If you have a complaint, you should first contact StarTrip support so that we may attempt to resolve it informally.
